24hritsupport - Terms and Conditions
1. Definitions
- "Client" refers to the individual or organization receiving IT support services.
- "Service Provider" or "24hritsupport" refers to the IT support provider.
- "Services" refers to the IT support and related services provided by the Service Provider to the Client.
2. Scope of Services
- The Service Provider agrees to provide IT support services to the Client as outlined in the service agreement or statement of work (SOW).
3. Service Levels
- The Service Provider will make reasonable efforts to maintain agreed-upon service levels. Service levels may vary based on the agreed service package.
4. Fees and Payment
- The Client agrees to pay the Service Provider fees as specified in the service agreement or invoice.
- Invoices are due within 30 days from the date of issuance.
- Late payments may incur additional charges or service interruptions.
5. Termination
- Either party may terminate the agreement with written notice.
- Upon termination, the Client shall pay any outstanding fees or expenses.
6. Data Security and Privacy
- The Service Provider will take reasonable measures to protect the confidentiality and security of the Client's data.
- The Client is responsible for maintaining data backups.
7. Intellectual Property
- All intellectual property rights related to the services remain with the Service Provider.
- The Client retains rights to its data and materials provided.
8. Liability
- The Service Provider is not liable for any loss or damage resulting from the use of its services unless caused by gross negligence or willful misconduct.
9. Confidentiality
- Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the engagement.
10. Indemnification
- The Client agrees to indemnify and hold the Service Provider harmless from any claims, losses, or damages arising from using the services.
11. Entire Agreement
- This agreement constitutes the entire understanding between the parties and supersedes all prior agreements or understandings.
12. Amendments
- Any changes to this agreement must be in writing and signed by both parties.
13. Severability
- If any provision of this agreement is invalid or unenforceable, the remaining provisions shall remain in full force and effect.
The Client acknowledges and agrees to abide by these terms and conditions by engaging in our IT support services.
